DISCLAIMER
Freespeed Aviation, LLC (“Freespeed” or “Broker”) acts as a Bona Fide Agent, commonly referred to as an Air Charter Broker, whereas Freespeed acts as an agent on behalf of our select clientele (the “Charterer” or “Client”) in obtaining air charter services with properly licensed direct air carriers and direct foreign air carriers that exercise operational control of the flights at all times. Freespeed Aviation is NOT a registered 14 CFR Part 135 Direct Air Carrier, nor does it provide air carrier services. We select only from direct air carriers and direct foreign air carriers that hold the requisite form of economic authority from the Department of Transportation and appropriate safety authority from the Federal Aviation Administration (FAA), and, if applicable, a foreign safety authority. Freespeed Aviation ensures that all charter operators offered to clients are authorized by the FAA to conduct operations under the applicable regulations (14 CFR Part 135). These operators are required to comply with stringent FAA standards, which include but are not limited to: 1) Maintaining current certifications for all aircraft and personnel; 2) Ensuring all pilots meet rigorous training, qualification, and experience requirements; 3) Adhering to strict maintenance schedules and protocols for aircraft safety and reliability; 4) Employing certified maintenance personnel who meet FAA qualifications; 5) Undergoing regular audits and inspections conducted by the FAA to ensure compliance with all applicable safety regulations and operational standards. By utilizing only FAA-certified charter operators, Freespeed Aviation, LLC provides assurance that every flight offered meets or exceeds the regulatory requirements for safety and legality. Charter Operators are solely responsible for the air transportation by Freespeed for its clients. Freespeed does not own or operate the aircraft on which our clients fly. Freespeed Aviation complies with all Charter Broker rules contained in 14 CFR Part 295.
DEFINITIONS
Additional Expenses: Such amount in excess of the Quote, including, but not limited to, costs related to arising from other goods and additional services, such as: Additional flight time due to inclement weather or air traffic control routing that is out of the Charter Operator's control. Additional FET and applicable charges on international trips if there is an interim stopover within the US segment for over 12 hours and/or passenger changes. De-Icing charges or hangar fees incurred in order to prevent De-Icing, unless otherwise stated in Comments. This includes charges incurred on positioning flights to the point of departure and positioning flights after the completion of the trip. Flight Phone Usage and Wireless Internet usage by passengers; when applicable. Damage beyond normal wear and tear caused by passengers. Smoking is prohibited on flights. If tobacco smoking is permitted by the Charter Operator, a Smoking Fee will apply. VIP handling services requested by passengers at international locations. Cleaning charges for pets on board the aircraft, if charged by the Aircraft Operator. Requested use of non-preferred FBO locations, varying based on the Charter Operator’s preference. Any catering arranged by the Broker or Charter Operator. Agreement: The executed Quote and any amendments thereto. Broker: Freespeed Aviation, LLC (Freespeed), the air charter broker providing the transactional services between the Client and the Charter Operator for the services set forth in this Quote. Freespeed acts as a bona fide agent on behalf of the Charterer. In this capacity, Freespeed does not maintain any corporate or business relationships or preexisting contracts with the direct air carrier or direct foreign air carrier that will be in operational control of the flight that may have a bearing on the Broker’s selection of the direct carrier that will be in operational control of the flight. Charter air transportation: Charter flights in air transportation authorized under Part A of Subtitle VII of Title 49 of the United States Code. Charter Operator: The company providing the service(s) set forth in this Quote, and related written Agreements. Client, or Charterer: The individual and/or entity contracting with Freespeed for the transportation of the passengers flown on the charter flight. Direct air carrier and foreign direct air carrier: A U.S. or foreign air carrier that provides or offers to provide air transportation and that has control over the operational functions performed in providing that transportation. FBO: The “Fixed Base Operator” where the aircraft will operate from at each airport. International flight or trip: A trip that includes at least one segment that lands at an airport outside the contiguous United States. Payment: The amount due from Client. The total cost of the air transportation paid by the Client to the Broker, including any air charter broker or carrier-imposed fees or government-imposed taxes and fees are disclosed to the Client on the Quote page ahead of these Terms and Conditions. Parties: The Client, the Broker, and the Charter Operator; collectively referred to as the Parties, and individually, "Party". Quote: The estimated amount of fees and costs, and terms and conditions, as set forth herein, to contract for the usage of the referenced aircraft, including any modified or amended Quotes. Salesperson: The individual providing this Quotation or other related services. Schedule: The date(s), flight location(s), and time(s) referenced in the Quote that the Client anticipates for usage of the referenced aircraft.
GENERAL
This Quote is aircraft specific for the Schedule set forth above. Should the need arise to change the aircraft or Schedule for any reason the Quote may change. In the event of a modification to the Schedule, for any reason, or request and addition of other goods or services not referenced in the Quote (e.g., ground transportation or catering), the Client shall be solely responsible for the related increase in the Quote. Client shall be informed of any such change(s) as soon as practicable. Client's use of an alternative aircraft, modified Schedule, and/or additional goods and services not reflected in the original Quote, shall be deemed acceptance and agreement for such modifications and increased costs and Additional Expenses associated therewith.
CONDUCT
Client agrees to act in a safe, respectful, legal, and professional manner at all times while traveling as set forth in this Quote. Client shall comply with all requirements and instructions of the flight crew. Client understands that he/she/it is solely responsible for any damage to the aircraft, including but not limited to, cleaning or repair of damaged or soiled aircraft surfaces, components, appliances or accessories, as a result of any individual(s) accompanying or otherwise traveling with the Client. In the event that Client or those traveling with Client cause any damage to the aircraft, act in a manner the flight crew or Charter Operator deems in their sole discretion to be unsafe, dangerous, illegal, or inappropriate, the Charter Operator may cancel this Agreement. In the event of a cancellation of this Agreement for the reasons set forth herein, Client shall remain responsible for the Payment of this Quote and any consequential damages.
QUOTE AND ADDITIONAL EXPENSES
The Quote is accurate on the date quoted and is valid for 5 days unless revised or amended by a subsequent quote. The Quote reflects a 4% cash discount, which shall be forfeited if payment is made by credit card. This Quote does not include the full amount for Additional Expenses, including, but not limited to: catering, ground transportation, deicing, hangar rental, and WiFi and flight phone usage. Client shall be solely responsible for Payment of Additional Expenses. Full payment via wire transfer is due no less than 48 hours prior to departure for Domestic flights and 7 days prior to International flights, and is due upon booking for one-way flights. Payment of any additional charges shall be made within 5 business days of receipt of the invoice. If a flight does not reach its destination due to force majeure, weather, or mechanical interruption, Client agrees to pay charges for the completed portion of the Schedule. Neither the Charter Operator nor the Broker guarantee that an alternate aircraft from the Charter Operator will be available. The Charter Operator and the Broker will make a reasonable effort to locate a suitable alternative, but cannot guarantee the price of the alternate aircraft and neither will be responsible for the cost of the alternate aircraft.
LATE PASSENGER POLICY
Passengers must arrive at the designated Fixed Base Operator (FBO) or departure area at least 20 minutes prior to departure time. Charter Operators reserve the right to depart as scheduled, and late arrivals may be considered a no-show. If a Client or passengers are not present for boarding within 30 minutes after the scheduled departure time, the flight may be canceled at the discretion of the Charter Operator, and all funds paid will be forfeited. Client shall remain responsible for all associated costs and expenses.
BAGGAGE AND CARGO
Due to aircraft weight and balance limitations, all baggage, cargo, and passenger weights are subject to Charter Operator approval. Dangerous goods, hazardous materials, and restricted items are not permitted aboard the aircraft unless specifically authorized in accordance with applicable regulations. The Charter Operator may refuse to carry any baggage or cargo it deems unsafe or noncompliant. Client is responsible for ensuring all baggage and cargo comply with Charter Operator policies and federal transportation safety regulations.
WEATHER, MECHANICAL, AND FORCE MAJEURE
The Charter Operator shall have the sole and exclusive right to delay or cancel any flight due to weather, mechanical issues, safety considerations, air traffic control, or other conditions beyond its reasonable control (“Force Majeure”). Neither the Broker nor the Charter Operator shall be liable for any failure to perform, or for any delay in performance, caused by circumstances beyond their control, including, but not limited to, natural disasters, war, terrorism, labor disputes, governmental restrictions, or operational restrictions. If a flight is delayed, diverted, or canceled due to any Force Majeure event, Client shall remain responsible for payment of all completed flight segments and any additional costs incurred as a result of such event.
SUBSTITUTION OF AIRCRAFT
In the event that the scheduled aircraft becomes unavailable prior to or during the trip due to maintenance, operational, or other issues, the Charter Operator or Broker may, at their discretion, substitute an alternate aircraft of similar or greater quality and capacity, subject to Client approval. If Client declines the substitute aircraft, cancellation terms as set forth herein shall apply.
CANCELLATION POLICY
Cancellations must be submitted in writing to Freespeed Aviation. The following penalties apply unless otherwise stated in the Quote: (a) More than 7 days prior to departure: 10% of total Quote cost; (b) 3–7 days prior to departure: 50% of total Quote cost; (c) Less than 72 hours prior to departure: 100% of total Quote cost. For one-way flights, cancellation after booking will result in forfeiture of 100% of the total cost. In the event of a flight cancellation caused by weather, mechanical, or Force Majeure conditions, the Charter Operator shall refund only the unused portion of the flight segment, if applicable, less any repositioning or other costs incurred.
CONDUCT OF FLIGHT
The pilot-in-command has full and final authority over the operation of the aircraft, including decisions regarding route, speed, altitude, passenger behavior, and flight continuation. The Charter Operator’s crew shall have the right to deny boarding or remove any passenger whose behavior, health, or condition poses a risk to flight safety or violates any law or regulation. The Charter Operator’s decisions regarding flight operation are final and binding.
LIMITATION OF LIABILITY
Client acknowledges that the Broker acts solely as an agent between the Client and the Charter Operator. The Broker shall not be liable for any loss, injury, damage, delay, or expense arising from the performance or nonperformance of the Charter Operator, except in cases of gross negligence or willful misconduct by the Broker. Under no circumstances shall the Broker be liable for consequential, incidental, or punitive damages. Client’s sole remedy for any claim shall be limited to the amount paid for the specific flight giving rise to such claim.
INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless Freespeed Aviation, its officers, employees, agents, affiliates, and subcontractors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to Client’s use of the services, breach of this Agreement, or any act or omission of Client, its passengers, or guests.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles. Any disputes arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Los Angeles County, California.
ENTIRE AGREEMENT
This Agreement, including the Quote and any referenced attachments, constitutes the entire understanding between the Parties and supersedes all prior discussions, negotiations, or agreements, whether written or oral. Any amendment or modification must be in writing and signed by all Parties.
SEVERABILITY
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
REFUNDS
Refunds, when applicable, will be processed within 10 business days of cancellation approval and will be issued via the original payment method unless otherwise agreed in writing. Refunds may be subject to deductions for costs already incurred, including repositioning, handling, and administrative fees.
COST PER CABIN CLASSIFICATION
Aircraft Cabin Classification – Recovery Support Fee (% of Total Trip Value*)
Turboprop: 2.0%
Very Light Jet / Light Jet / Super Light Jet: 2.5%
Midsize Jet: 3.0%
Super Midsize Jet: 3.5%
Heavy Jet: 4.0%
Ultra Long Range Jet: 4.5%
* Total Trip Value refers to the net trip cost before Federal Excise Tax (FET) and Segment Fees.
When you purchase this product, you receive coverage under the Charter Flight Support (CFS) program. In the event of an unexpected mechanical issue, CFS will cover up to 100% of the price difference between the originally booked aircraft and the cost of the replacement aircraft.
Example: If a charter costs $25,000 on a Light Jet (with a $625 CFS insurance cost), and a mechanical issue occurs, the customer will be covered for up to $50,000 toward recovery on a Light Jet or larger aircraft — with as minimal a departure delay as possible.
Am I required to accept the recovery option offered in the event of a mechanical issue?
No. If the replacement aircraft does not meet your standards, or you choose to cancel the charter trip entirely, the cost of the CFS service will be refunded in full.
This is an optional purchase, designed to act as an insurance policy that ensures your pricing remains protected in the event of a mechanical cancellation. Freespeed Aviation does not profit from this transaction — it is a passthrough support cost only.
